Terms of Use

By accessing or using the Foundera platform ("Foundera", "the platform", "we", "us"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the platform.

These Terms constitute a legally binding agreement between you and Solo Labs Ventures ("the seller"), regarding your use of Foundera. When you create an account you are asked to confirm acceptance of these Terms and acknowledge the Privacy Policy; we record the date and version you accepted.

Foundera is an always-on progressor platform that helps founders validate ideas, build products, connect with investors and mentors, discover opportunities, find jobs, and participate in communities. Features include AI-powered tools, startup profiles, direct messaging, job listings, event discovery, and community forums.

We may modify, suspend, or discontinue any part of the platform at any time without prior notice.

You must be at least 16 years old to use Foundera. By using the platform, you represent and warrant that:

• You meet the minimum age requirement.
• You have the legal capacity to enter into these Terms.
• You will provide accurate and truthful information in your profile and startup listings.
• You are not barred from using the platform under applicable laws.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or use of your account.

You may not share your account credentials, impersonate another person, or create multiple accounts for deceptive purposes.

You keep everything you bring. You retain all ownership rights in the ideas, business plans, documents, data, metrics, intellectual property and other content you submit to Foundera ("Your Content"). Foundera does not claim ownership of your startup, your idea or your intellectual property.

By submitting Your Content to Foundera, you grant Foundera a limited, non-exclusive, worldwide, royalty-free licence to host, store, reproduce, process, transmit and display Your Content solely as reasonably necessary to provide, maintain, secure and improve the Foundera Services — including displaying it according to the visibility setting you select and processing it through the automated and AI systems that power Foundera features.

This licence ends when you delete the relevant content or your account, except for copies retained in backups, logs or where retention is required by law, and except for content other users have already lawfully received under your chosen visibility setting.

You represent that you have the right to submit Your Content and that it does not violate the rights of any third party.

You acknowledge that startup ideas, business models, products, technologies and strategies may be similar to ideas independently developed or submitted by other Foundera users, investors, partners or third parties.

The submission of an idea to Foundera does not restrict Foundera or other users from independently developing, investing in, advising or working with businesses or concepts that may be similar to yours.

Similarity between your idea and another business, product or project does not by itself establish that your information was accessed, copied or misused.

None of the above changes the fact that Foundera does not claim ownership of your startup idea or intellectual property, and does not relieve investors, mentors or service providers of the obligations they accept under the Investor & Restricted Access Terms.

Foundera will use the visibility setting selected by you to determine how your startup information is displayed through the Services. The settings are:

• Stealth: only you and authorized members of your startup can access your startup profile.
• Investors only: accessible to Foundera-approved investor accounts.
• Investors + mentors: accessible to Foundera-approved investor and mentor accounts.
• Everyone: visible to other Foundera users and potentially publicly accessible.

Content you intentionally designate as visible to Everyone should not be considered confidential.

Foundera will not intentionally disclose Stealth content to other Foundera users or investors except as authorized by you, as required to provide the Services, as required by law, or as otherwise described in our Privacy Policy. We use appropriate technical and organizational safeguards, but no internet-based system can guarantee complete security, and we do not warrant that unauthorized access will never occur.

Investor, mentor and service-provider accounts are reviewed before they receive access to non-public founder information, and must accept the Investor & Restricted Access Terms before that access is granted. Those terms restrict such accounts to evaluation use and prohibit public disclosure, scraping, sale, redistribution outside their organization, impersonation, use for training unrelated AI systems, and circumvention of Foundera's visibility controls.

Verification and approval mean an account has been reviewed and has accepted contractual obligations. They are not a warranty of a member's conduct, identity, solvency or intentions, and Foundera is not responsible for the acts of independent third parties.

You agree not to use Foundera to:

• Post false, misleading, or fraudulent information.
• Harass, abuse, or harm other users.
• Scrape, crawl, or use automated means to access the platform without permission.
• Copy another member's profile, startup page or content and present it as your own.
• Impersonate a person, company, fund or Foundera itself.
• Distribute spam, malware, or malicious content.
• Send unsolicited bulk or cold marketing messages to any person, on or off the platform.
• Collect, export, compile, sell or otherwise share contact details or marketing lists of other users or third parties.
• Engage in illegal activities or promote violence.
• Infringe on intellectual property or other proprietary rights.
• Circumvent security measures, visibility settings, approval requirements or platform operations.

Foundera does not provide, sell, enrich or otherwise make available marketing lists or marketing contact data, and does not facilitate unsolicited outbound marketing. Directory entries contain publicly available company information only. Messaging on Foundera is limited to consenting members inside the platform. Our Community Guidelines form part of these Terms.

Foundera uses artificial intelligence and automated systems to provide startup analysis, recommendations, assessments, scores, forecasts, educational content and other outputs.

AI-generated outputs may be incomplete, inaccurate or inappropriate for your particular circumstances and should not be treated as statements of fact or guarantees of future results. You are responsible for evaluating AI-generated outputs before making business decisions based on them. Further detail is set out in our AI Disclosure.

Foundera does not provide legal, accounting, tax, financial, investment or other regulated professional advice. AI-generated guidance and other content available through Foundera are provided for informational and educational purposes only.

Foundera's startup assessments, scores, recommendations or AI-generated opinions should not be interpreted as a guarantee that a business will succeed, raise financing, be accepted into an accelerator, achieve product-market fit or generate any particular financial outcome.

Foundera is not an investment adviser, broker-dealer or securities exchange.

Information provided through Foundera does not constitute an offer, solicitation or recommendation to purchase, sell or invest in any security. The presence of an investor on Foundera, an investor's verification status, a startup's Foundera score, or any recommendation or match generated by Foundera does not constitute an endorsement or investment recommendation.

Foundera does not guarantee that founders will receive investment, introductions, meetings or funding, and does not guarantee that investors will receive suitable deal flow.

Foundera is free for everything except AI features, which run on AI credits. Every verified member receives a one-time welcome credit grant and a free monthly credit allowance. Paid credit plans and one-time top-up packs are published on our pricing page. Prices are in US dollars and exclude any applicable sales tax or VAT, which is calculated and shown at checkout.

Plan credits reset to the plan's monthly allowance at each renewal rather than accumulating; annual plans are paid upfront and release credits monthly. Top-up credits never expire. Credits are non-transferable, have no cash value, and can only be used inside Foundera.

Seller and payment processing. Foundera is sold by Solo Labs Ventures, the seller of record for all orders. Payments are processed securely by Stripe as our payment processor; we do not see or store your full card details. Billing, invoicing, cancellation and refund requests are handled by us directly at support@sololabs.ventures.

Subscriptions renew automatically at the end of each billing period (monthly or annual) at the then-current price until cancelled. You may cancel at any time from your billing settings in Foundera or through the secure Stripe billing portal linked there; access continues until the end of the period you have already paid for.

Refunds are covered by our Refund Policy (30-day money-back guarantee). If a payment fails, we may retry the charge and suspend paid features until payment succeeds. We may change prices or plan contents with notice; changes apply from your next renewal.

You may delete your account at any time through your account settings. Upon deletion, your profile and associated data will be removed in accordance with our Privacy Policy.

We reserve the right to suspend or terminate your account, with or without notice, for material breach of these Terms, non-payment of fees, suspected fraud or security risk, or repeated or serious policy violations.

Foundera is provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the platform's reliability, accuracy, or availability, and we do not verify the accuracy or completeness of information submitted by other users.

Foundera is a platform for connection and discovery. Any investment, hiring, or partnership decisions made through the platform are solely your responsibility.

To the maximum extent permitted by law, Solo Labs Ventures and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the platform, even if advised of the possibility of such damages. This includes loss of profits, loss of business opportunity, loss of data, and claims arising from the conduct of other users or from reliance on AI-generated outputs.

Our total liability to you for any claims arising under these Terms shall not exceed the amount you paid us (if any) in the twelve months preceding the claim.

You agree to indemnify and hold harmless Solo Labs Ventures and its affiliates from any claims, damages, liabilities and reasonable legal costs arising from your content, your use of the platform, your breach of these Terms, or your infringement of the rights of any third party.

These Terms shall be governed by and construed in accordance with the laws of Türkiye, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Türkiye. Nothing in this section removes consumer protections you have under the mandatory law of your country of residence.

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the platform and updating the version and date at the top of this page. Your continued use of Foundera after such changes constitutes acceptance of the revised Terms.
